1. Acceptance of Terms
By accessing or using the Quincy Ventures Merchant Portal ("Portal"), including any associated services, APIs, or mobile applications (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to all of these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you (whether individually or on behalf of the entity you represent) and Quincy Ventures, LLC ("Quincy Ventures," "we," "us," or "our").
2. Eligibility
To use the Services, you must:
- Be at least 18 years of age or the legal age of majority in your jurisdiction.
- Have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent.
- Operate a lawful business that complies with all applicable laws and regulations.
- Not have been previously suspended or removed from the Services.
3. Account Registration & Security
When you create an account, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Keep your password secure and confidential.
- Notify us immediately of any unauthorized access to your account.
- Accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that contain inaccurate or incomplete information.
4. Services Description
Quincy Ventures provides merchant payment processing services, including but not limited to:
- Credit and debit card transaction processing.
- Point-of-sale (POS) solutions and integrations.
- Merchant enrollment and onboarding.
- Transaction reporting and analytics through the Merchant Portal.
- Customer support and dispute resolution assistance.
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with or without notice.
5. Fees & Payment
You agree to pay all fees associated with the Services as outlined in your Merchant Agreement. Fees may include:
- Transaction processing fees (percentage and/or per-transaction).
- Monthly service or account maintenance fees.
- Chargeback and retrieval fees.
- Equipment lease or purchase costs.
- PCI compliance or non-compliance fees.
All fees are subject to change with 30 days' prior written notice. Failure to pay fees may result in suspension or termination of Services.
6. Acceptable Use & Conduct
You agree not to use the Services to:
- Process transactions for illegal goods, services, or activities.
- Engage in fraudulent, deceptive, or misleading practices.
- Violate any applicable laws, regulations, or card network rules.
- Transmit viruses, malware, or other harmful code.
- Attempt to gain unauthorized access to any part of the Services.
- Reverse engineer, decompile, or disassemble any part of the Services.
- Use the Services in any manner that could damage, disable, or impair our infrastructure.
7. Intellectual Property
All content, features, and functionality of the Services — including but not limited to text, graphics, logos, software, and trademarks — are the exclusive property of Quincy Ventures or its licensors and are protected by applicable intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your business purposes in accordance with these Terms.
8. Data & Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the practices described in the Privacy Policy.
You are responsible for ensuring that your use of the Services complies with all applicable data protection laws, including but not limited to PCI DSS requirements for handling cardholder data.
9. Third-Party Services
The Services may integrate with or contain links to third-party services, including payment networks (Visa, Mastercard, American Express, Discover), banking institutions, and software providers. We are not responsible for the content, policies, or practices of any third-party services.
10. Disclaimers & Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
To the maximum extent permitted by law, Quincy Ventures shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services.
Our total aggregate liability for any claims arising from these Terms or your use of the Services shall not exceed the total fees paid by you to Quincy Ventures during the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Quincy Ventures, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
12. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access to the Services immediately, without prior notice, if:
- You breach any provision of these Terms.
- We are required to do so by law or a regulatory authority.
- We reasonably believe your account is being used for fraudulent or illegal activity.
- Your account has been inactive for an extended period.
Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination (including indemnification, limitation of liability, and governing law) shall remain in effect.
13. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association, except where prohibited by law.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Portal and updating the "Last updated" date. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
